Due Diligence

One of the most complex and integral components of a successful acquisition or merger is the due diligence review. Adams Capital professionals are knowledgeable and experienced in organizing and conducting the due diligence process. Pre-acquisition due diligence is essential in: 1) deciding on an appropriate structure as well as price for the transaction; and, 2) avoiding or preparing for potential obstacles. If potential problems are identified, then the purchaser can structure the acquisition so that it covers or at least compensates such risks.

A high quality due diligence effort enables an acquiring company to be proactive, rather than reactive, in dealing with the transaction’s inherent risk. To uncover such risks, the due diligence process focuses on the following:

Legal matters (including government and regulatory issues)

In reviewing these areas, Adams Capital is experienced in asking the right questions and requesting the necessary documentation to identify and evaluate potential concerns. In addition, we work with our clients to ensure that the due diligence process is performed with discretion and confidentiality.

Adams Capital minimizes management’s potential exposure in a transaction setting and ensures that, as an officer and/or director of an acquiring firm, fiduciary duties to employees and shareholders are fulfilled.

Adams Capital’s expertise enhances clients’ understanding of applicable reporting guidelines, fulfillment of fiduciary duties, and maximization of shareholder wealth.
