Fairness Opinions

A fairness opinion is a special letter report from a financial advisor to the board of directors of a company being sold, opining on the fairness of the transaction, from a financial point of view. Adams Capital provides in-depth analysis and objective opinions of value to support the fairness of a transaction to selling shareholders or to a board of directors exercising their fiduciary responsibilities. Analysis is limited to the adequacy of the consideration, not the merits of the transaction. Therefore, a fairness opinion is not an assurance that the highest possible price was obtained.

By hiring an objective third party such as Adams Capital to render a fairness opinion, a board of directors seeks an independent financial analysis of the transaction consistent with the board’s fiduciary duty to shareholders.
