Kessinger Damm
Professional Background Ms. Damm is an expert in the valuation of businesses and business interests for the purposes of mergers and acquisitions, joint ventures, corporate recapitalization, gift and estate tax planning, litigation, and financial and tax reporting. Prior to joining Adams Capital, Inc., Ms. Damm was a capital markets specialist for an international bank where she advised companies on financing strategies. In addition, Ms. Damm practiced corporate finance services with a "Big Five" accounting and consulting firm. Ms. Damms industry experience includes advertising, banking, entertainment, healthcare, hospitality, insurance, internet, manufacturing, retail, software, textiles, and transportation. Education, Professional Affiliations, Writings, and Presentations Ms. Damm received a BS in marketing from Birmingham Southern College and an MBA in finance from Georgia State University. Ms. Damm is certified by the American Institute of Certified Public Accountants (AICPA) business valuation program, and she is also co-author of a national business valuation course sponsored by the AICPA entitled Estate and Gift Tax, Mergers and Acquisitions - Case Study. Ms. Damm is also a speaker on business valuation issues for CPE and CLE seminars. Professional Experience Ms. Damms accomplishments include performing a solvency opinion for a $300 million debt facility and a fairness opinion for a $75 million hospital with an acquisition offer from a national, public hospital chain. Ms. Damm prepared a bank book that raised $180 million of acquisition financing for a public textile manufacturer and performed detailed examination of the acquisition, including purchase price analysis. She also prepared a "long form" for a proposed listing on the London Stock Exchange for a $3 billion aluminum manufacturer. Other experiences include: sell-side assistance to a physician practice, buy-side assistance to an internet company, stock option valuation for an international theme restaurant chain for IPO purposes, analyzing the value impact of a capital infusion and corporate recapitalization, and business valuation assistance to a regional manufacturing client for estate tax purposes.
