Adams Capital Option Valuation Process

An option valuation project typically involves the following worksteps:

1. The option valuation process begins with an initial telephone conference or personal meeting to learn more about your company, its strategy, and unique issues driving value;
   
   
2. We then issue an engagement letter, including an information request (“Engagement Letter”) which outlines our understanding of the tasks to be accomplished and responsibilities based on our discussions and prior experience with such matters;
   
   
3. Once we receive the executed engagement letter and retainer (typically 50% of the total professional fees), we begin our field work and review relevant information as requested on our data request (“Request for Information”). Our field work will include management interviews and site visits, as necessary;
   
   
4. Based on our discussions with you, research, and valuation experience, we then perform a detailed business and option valuation study, issue a draft report and draft board presentation materials;
   
   
5. Once you have reviewed the draft report, we will discuss any revisions with company management and advisors, update our valuation study as requested, and prepare a final option valuation report for presentation to the company Board;
   
   
6. After the initial option valuation is completed, Adams Capital will gather updated interim financial information and provide quarterly valuation updates. We will monitor market developments and inform management of any resulting material changes in valuation; and
   
   
7. We will be available to respond to valuation questions at any time. This consulting service is offered to existing clients at the standard hourly rate of our professionals.

The valuation process, from the time we receive the authorization to proceed and requested data, takes approximately 30 days. Should your project require a shorter turnaround, please advise and we will make every effort to meet your deadline.
